Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Darro Tech LLC, a Missouri limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the PawsConnect platform, including the website, mobile applications, and all related services (collectively, the "Service").

BY CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use the Service.

1. Eligibility

1.1 Age Requirement

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old.

1.2 Legal Capacity

You represent that you have the legal capacity to enter into a binding agreement and are not prohibited from using the Service under any applicable law.

1.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary to maintain its accuracy.

2. Account Registration and Security

2.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

Provide accurate and complete registration information
Maintain the security of your account credentials
Promptly notify us of any unauthorized access to your account
Accept responsibility for all activities that occur under your account

2.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials. You agree not to share your password or allow others to access your account.

2.3 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without cause, and with or without notice, for any reason including but not limited to violation of these Terms.

3. Subscription and Billing

3.1 Free and Paid Services

The Service may offer both free and paid subscription tiers. Certain features may be restricted to paid subscribers.

3.2 Payment Terms

If you subscribe to a paid tier:

You authorize us to charge your selected payment method for all applicable fees
Subscriptions automatically renew unless cancelled before the renewal date
All fees are non-refundable except as required by law or as expressly stated

3.3 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period, and you will retain access to paid features until that time.

4. Acceptable Use

4.1 Permitted Use

You may use the Service for lawful purposes in accordance with these Terms, including:

Creating and managing dog profiles
Connecting with other dog owners, breeders, fosters, and trainers
Sharing photos, videos, and content related to dogs
Using breeding match features and training resources
Communicating with other users through messaging and video calls

4.2 Prohibited Conduct

You agree NOT to:

Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
Post content that infringes any intellectual property rights of others
Post false, misleading, or fraudulent information
Post content involving animal cruelty, abuse, or neglect
Impersonate any person or entity
Harass, bully, or threaten other users
Attempt to gain unauthorized access to the Service
Reverse engineer or attempt to extract source code from the Service

4.3 Dog Welfare

You agree to only list dogs that you own or have legal authority to represent, provide accurate information, and comply with all applicable animal welfare laws.

5. User Content

5.1 Your Content

You retain ownership of content you submit to the Service ("User Content"). By submitting User Content, you grant Darro Tech LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating and providing the Service.

5.2 Content Moderation

We reserve the right to review, moderate, reject, or remove any User Content at our sole discretion.

6. Intellectual Property

6.1 Our Property

The Service, including its design, features, functionality, text, graphics, logos, and software, is the exclusive property of Darro Tech LLC and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Restrictions

You may not copy, modify, or distribute any part of the Service, use the Service to create a competing product, or use our trademarks without written permission.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We are not responsible for the conduct, actions, or communications of any user. All breeding arrangements and transactions are solely between the users involved.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DARRO TECH LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

Our total liability shall not exceed the greater of (a) the amount you paid to us in the twelve months preceding the claim, or (b) one hundred dollars ($100.00).

9. Indemnification

You agree to indemnify, defend, and hold harmless Darro Tech LLC from any claims, damages, losses, costs, and expenses arising from your use of the Service, your User Content, or your violation of these Terms.

10. Dispute Resolution

10.1 Governing Law

These Terms shall be governed by the laws of the State of Missouri, United States of America.

10.2 Jurisdiction

Any legal action relating to these Terms shall be brought exclusively in the state or federal courts located in Missouri.

10.3 Class Action Waiver

You agree that any claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email. Your continued use after changes become effective constitutes acceptance.
